Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, technology, products, payment solutions and related services made available under the Wetapo brand.

Please read these Terms carefully before accessing or using any Wetapo Services. By accessing or using the Services, entering into a commercial relationship with Wetapo or otherwise indicating your acceptance of these Terms, you acknowledge that you have read, understood and agreed to be bound by them.

1. About Wetapo and these Terms

For the purposes of these Terms, “Wetapo”, “we”, “us” and “our” refer to Wetapo and the services, websites, technology and products made available under the Wetapo brand.

References to “Customer”, “you” or “your” mean the business, company, organisation, partnership or other legal person accessing, integrating with or using the Services and, where the context requires, any individual duly authorised to act on its behalf.

References to “End User”, “Payer” or “Payment Service User” may refer to an individual or legal person interacting with a payment journey made available through the Services.

Wetapo is a European payment technology business focused on modern bank payment experiences, including Pay by Bank, Open Banking payments, payment initiation technology and related payment functionality.

Our objective is to provide businesses with technology that allows bank payments to be incorporated into modern digital commerce and financial products in a simple and scalable manner.

These Terms establish the general legal framework governing the use of Wetapo Services. Depending on the particular product, commercial relationship, jurisdiction and regulatory framework, additional terms may apply.

These may include a commercial agreement, order form, pricing schedule, service schedule, data processing agreement, technical documentation, product-specific terms or other written arrangements entered into between Wetapo and the Customer.

Together, those documents form the contractual framework governing the relevant Services.

Where there is a conflict between these Terms and a specifically negotiated written agreement between Wetapo and a Customer, the specifically negotiated agreement will take precedence in relation to the subject matter of that conflict.

The availability of information about a Wetapo product on our website does not by itself constitute an offer, guarantee that the product is available in a particular jurisdiction or create an obligation on Wetapo to provide that product to any particular person.

2. Our Services

Wetapo develops and makes available technology intended to help businesses create modern account-to-account payment experiences.

Depending on the Customer, jurisdiction, technical implementation and applicable commercial arrangement, our Services may include Pay by Bank, Open Banking Payments, Payment Links, payment initiation functionality, APIs, integrations, payment status functionality, technical interfaces, testing environments and other related payment technology services.

Pay by Bank

Pay by Bank is designed to allow eligible End Users to initiate payments directly from an eligible bank account through a digital payment journey.

Rather than manually entering traditional card details, an End User may be presented with the opportunity to select an available bank or banking environment and proceed through the authentication and authorisation process required by the relevant bank or payment service provider.

The precise user experience may vary between banks, countries, devices and payment scenarios.

Open Banking Payments may allow Customers to integrate account-to-account payment functionality into their own websites, applications, platforms, checkout environments or financial products.

The functionality available in any particular implementation may depend on the Customer's approved use case, technical integration, geographic market and availability of relevant banking infrastructure.

Payment Links

Where available, Payment Links may allow Customers to generate and distribute a payment request that directs an End User into an appropriate payment journey.

Customers remain responsible for ensuring that payment requests accurately describe the underlying commercial transaction and are only sent to persons from whom the Customer is legitimately entitled to request payment.

Technical and related services

Wetapo may also make available APIs, dashboards, reporting functionality, payment information, status information, testing environments, developer resources and other technology designed to support the integration and operation of the Services.

The exact scope of the Services provided to a Customer will be determined by the applicable commercial agreement.

Wetapo may develop new Services, discontinue existing functionality or change the way particular features operate as our products, technology, regulatory environment and underlying financial infrastructure evolve.

3. Nature of payment services and regulatory framework

Some functionality made available through Wetapo may form part of a payment journey involving services that are subject to financial services regulation.

Depending on the Service, jurisdiction and applicable regulatory structure, regulated elements of a payment service may be provided by or through an appropriately authorised payment service provider or other regulated financial institution.

Wetapo may therefore work with regulated payment service providers, banks, Open Banking infrastructure providers and other financial or technology partners in order to make particular functionality available.

Where required by applicable law, information identifying the relevant regulated entity, its regulatory status and the capacity in which Wetapo participates in the provision of a particular payment service will be made available separately.

Nothing contained on the Wetapo website, in marketing materials or in these Terms should be interpreted as a representation that a particular legal entity holds a specific regulatory authorisation unless that authorisation is expressly stated in the applicable Regulatory Information.

Payment initiation functionality does not mean that Wetapo operates the Payer's bank account.

Unless expressly stated otherwise in relation to a particular service, Wetapo does not take possession of the Payer's funds as part of the payment initiation process.

The underlying funds remain within the relevant banking and payment infrastructure and are transferred in accordance with the payment instruction, applicable banking arrangements and relevant payment scheme.

Wetapo does not provide banking, deposit-taking, investment, lending or financial advisory services merely by providing the Services described in these Terms.

Further information regarding the regulatory framework applicable to Wetapo Services may be provided on our Regulatory Information page.

4. Eligibility, onboarding and acceptance

Wetapo Services are primarily intended for businesses and professional users.

Unless expressly agreed otherwise, the Services are not offered to Customers acting as consumers for purposes unrelated to their trade, business or profession.

A person accepting these Terms or entering into an agreement on behalf of a Customer represents and warrants that they have sufficient authority to bind that Customer.

Access to Wetapo Services may be subject to onboarding, due diligence, technical review, commercial approval, risk assessment or other verification procedures.

As part of this process, Wetapo may request information concerning the Customer, including its legal identity, registration, ownership structure, directors, authorised representatives, business model, products and services, websites, expected payment activity, geographic markets, customer base, bank accounts, payment flows and regulatory status.

Wetapo may also request supporting documents or additional explanations where reasonably necessary to understand the Customer and the proposed use of the Services.

The Customer agrees that information supplied to Wetapo will be accurate, complete and not misleading.

The Customer must notify Wetapo without undue delay if information previously provided becomes materially inaccurate or if there is a significant change to its business, ownership, control, regulatory status or intended use of the Services.

Completion of an application, technical integration or onboarding questionnaire does not guarantee acceptance.

Wetapo reserves the right, subject to applicable law and contractual obligations, to accept or decline prospective Customers and to determine which Services, payment methods, markets or functionality will be available to a particular Customer.

Wetapo may also impose reasonable conditions or restrictions where necessary for legal, compliance, risk management, technical, security or commercial purposes.

5. Customer obligations and acceptable use

Customers must use the Services honestly, responsibly, securely and in accordance with applicable laws, regulations, these Terms and any additional agreement with Wetapo.

The Customer is responsible for its own business and for ensuring that the products or services for which payments are accepted are lawful.

The Customer must ensure that information displayed to End Users in connection with a transaction is accurate and not misleading. This includes, where applicable, the identity of the merchant, description of the relevant goods or services, payment amount, currency, refund or cancellation conditions and other information required by applicable law.

The Services must not be used in connection with unlawful, fraudulent, deceptive, abusive or unauthorised activity.

In particular, Customers must not use the Services to facilitate financial crime, disguise the true nature of transactions, process payments on behalf of undisclosed third parties, circumvent sanctions or regulatory restrictions, obtain unauthorised access to accounts or information, manipulate payment information or mislead an End User about the purpose or beneficiary of a transaction.

A Customer must not materially change the nature of its business or payment flows from those disclosed to Wetapo where such change would reasonably affect Wetapo's risk assessment without first notifying Wetapo.

Wetapo may maintain additional acceptable-use requirements or restrictions where necessary because of applicable law, regulatory expectations, requirements imposed by banking or payment partners, financial crime risks, information security considerations or other legitimate risk-management considerations.

6. Payment journeys, initiation and authorisation

A payment made using the Services may involve several independent stages and multiple parties.

Depending on the particular payment journey, these parties may include the Customer, Payer, Payer's bank, beneficiary, beneficiary's bank, regulated payment service providers, payment infrastructure providers and Wetapo.

An End User may first select Pay by Bank or another relevant payment option.

The End User may then be required to select their bank or banking environment and authenticate themselves using methods determined by their bank.

Once authenticated, the End User may be asked to review and authorise the payment instruction.

Authentication and authorisation requirements are determined by applicable law, the relevant bank and payment infrastructure. Wetapo does not determine or control the authentication mechanisms provided by an independent bank.

Customers and End Users must not attempt to circumvent authentication requirements, security mechanisms or other controls designed to protect payment accounts.

A payment can only proceed where the necessary consent and authorisation have been provided.

Submission or initiation of a payment does not necessarily mean that the transaction has been finally executed or settled.

The Payer's bank or another party involved in the payment chain may reject, delay or otherwise be unable to execute a payment after an initiation request has been made.

Accordingly, a Customer should not treat the creation or initiation of a payment request as equivalent to receipt of funds unless the relevant payment information expressly supports that conclusion.

7. Payment status, execution and settlement

Wetapo may make payment status information available to Customers.

Such information is intended to provide visibility into the progress of a payment and may indicate that a payment has been created, initiated, authorised, submitted, accepted, rejected, failed, completed or reached another relevant stage.

The terminology and amount of information available may differ depending on the payment method, bank, payment infrastructure and technical implementation.

Customers acknowledge that payment status information may originate from systems operated by independent financial institutions or infrastructure providers.

Wetapo will take reasonable steps to transmit or display information accurately but cannot guarantee that third-party information will always be complete, instantaneous or error-free.

A status showing that a payment has been initiated, authorised or submitted should not automatically be interpreted as confirmation of irrevocable settlement.

Customers are responsible for establishing appropriate rules for fulfilment of their own products and services, including determining when goods, digital products or services should be released.

Payment execution and settlement times may be affected by banking availability, payment scheme operating conditions, technical incidents, regulatory or compliance checks, cut-off times, the type of payment used and other factors outside Wetapo's reasonable control.

Wetapo does not guarantee that every payment initiated through the Services will be successfully executed or settled.

8. Refunds, cancellations and payment disputes

The availability and operation of refunds, cancellations, returns and reversals depend on the relevant payment method, banking infrastructure and applicable legal framework.

Account-to-account bank payments do not necessarily operate in the same manner as card payments and should not be assumed to provide identical chargeback or reversal mechanisms.

Where refund functionality is made available through Wetapo, the Customer is responsible for using it only where it has a legitimate basis to return funds.

Unless otherwise expressly agreed, Wetapo is not a party to the underlying sale or commercial arrangement between the Customer and the End User.

Questions concerning the quality, delivery, legality, cancellation or return of goods and services remain principally a matter between the Customer and its own customer.

The Customer remains responsible for complying with its legal and contractual obligations relating to refunds, cancellations and consumer or commercial rights.

Nothing in these Terms limits rights that cannot lawfully be excluded under applicable payment services or other mandatory legislation.

9. Third-party banks, providers and infrastructure

Modern bank payments depend on an interconnected financial and technology ecosystem.

Wetapo Services may rely upon systems operated by banks, payment service providers, Open Banking providers, payment schemes, telecommunications providers, cloud infrastructure providers and other third parties.

Certain parts of a payment journey may therefore occur outside systems owned or directly controlled by Wetapo.

Although Wetapo seeks to work with appropriate providers and design resilient Services, we cannot guarantee the continuous availability or performance of independent third-party systems.

A bank may experience downtime, modify its interface, change authentication requirements, temporarily restrict a particular payment route or reject a transaction for reasons that are not disclosed to Wetapo.

Similarly, third-party infrastructure providers may experience maintenance, technical incidents or changes to their services.

Where such events affect Wetapo functionality, we will take reasonable steps to minimise disruption where reasonably practicable.

Wetapo may change underlying service providers, technical routes or infrastructure arrangements where reasonably necessary to maintain, improve or develop the Services, subject to any specific contractual restrictions agreed with the Customer.

10. Technology, APIs, integrations and security

Where a Customer integrates with Wetapo through APIs or other technical interfaces, the Customer is responsible for implementing and maintaining its integration in accordance with applicable technical requirements.

Access credentials, API keys, passwords and other security credentials are confidential and must be protected against unauthorised access.

Customers are responsible for activity performed using credentials issued to them except to the extent that such activity results directly from a security failure for which Wetapo is legally responsible.

The Customer must inform Wetapo promptly if it knows or reasonably suspects that credentials have been lost, compromised or accessed by an unauthorised person.

Customers must not attempt to circumvent access controls, probe systems for vulnerabilities without authorisation, introduce malicious software, disrupt the Services, gain access to data belonging to another Customer or use automated processes in a manner that unreasonably interferes with the operation of Wetapo infrastructure.

Where testing or sandbox environments are made available, they are intended solely for development, evaluation and integration testing.

Testing environments may use simulated information and may not reproduce every characteristic of a production environment.

Customers should not rely on sandbox behaviour as a guarantee that every production payment scenario will operate identically.

Wetapo takes reasonable technical and organisational measures designed to maintain the confidentiality, integrity and availability of its systems.

Additional information about our approach to information security is available on our Security page.

11. Service availability, maintenance and changes

Wetapo aims to provide reliable and continuously available payment technology. Nevertheless, no internet-based, banking or payment service can reasonably be guaranteed to operate without interruption.

The Services may be temporarily unavailable because of planned maintenance, emergency maintenance, software updates, security events, infrastructure failures, bank outages, telecommunications disruption, third-party incidents, regulatory requirements or circumstances outside Wetapo's reasonable control.

Wetapo may carry out maintenance or technical changes where reasonably required to preserve security, reliability or functionality.

Where practicable and appropriate, we may provide Customers with advance information regarding material planned maintenance.

Emergency work may be undertaken without advance notice where delay could reasonably create security, operational or regulatory risk.

Wetapo may modify, enhance, replace or discontinue particular functionality as the Services develop.

This may include changes required because of new legislation, regulatory expectations, changes in banking APIs, third-party infrastructure or security requirements.

Where a change materially affects contracted Services, Wetapo will provide notice where required by the applicable commercial agreement or applicable law.

12. Fees, invoicing and taxes

Fees applicable to Wetapo Services are normally established in the commercial agreement, pricing schedule, order form or other commercial documentation agreed with the Customer.

Pricing may vary depending on the products used, transaction volumes, geographic coverage, technical requirements, risk profile and other commercial factors.

Unless expressly stated otherwise, general pricing information displayed on the Wetapo website is indicative only and does not create a binding offer.

Customers are responsible for paying fees in accordance with the agreed payment terms.

Where permitted by the applicable agreement, Wetapo may charge interest or take other reasonable steps in relation to overdue amounts.

Fees are exclusive of applicable taxes unless expressly stated otherwise.

Each party remains responsible for taxes for which it is legally liable.

The applicable commercial agreement may contain more detailed provisions concerning invoicing, payment terms, minimum commitments, transaction pricing or other charges.

13. Compliance, monitoring and cooperation

Payment services operate within an environment subject to financial crime prevention, sanctions, fraud prevention, security and other regulatory requirements.

Wetapo may therefore monitor activity associated with the Services to the extent reasonably necessary for security, operational integrity, compliance, fraud prevention and enforcement of contractual requirements.

Wetapo may request additional information regarding the Customer, individual transactions, payment patterns, End Users or the underlying commercial purpose of activity where reasonably necessary.

Customers agree to cooperate with legitimate requests for information and to provide accurate information within a reasonable period.

Where required by applicable law or the requirements applicable to a regulated payment service, Wetapo or another relevant service provider may be required to restrict functionality, reject or delay transactions, retain information or disclose information to a competent authority.

Nothing in these Terms requires Wetapo to disclose information where doing so would be prohibited by law, interfere with an investigation or undermine security or financial crime controls.

14. Suspension, restriction and termination

Wetapo may temporarily suspend or restrict access to all or part of the Services where there is a reasonable legal, regulatory, security, technical or risk-management basis for doing so.

Circumstances may include suspected fraud, unauthorised activity, material breach of these Terms, failure to provide required information, sanctions concerns, security incidents, significant changes to the Customer's business, non-payment of amounts due, requirements imposed by a competent authority or circumstances creating material risk to Wetapo, its partners, Customers or End Users.

Where reasonably practicable and legally permitted, Wetapo will inform the Customer of a material suspension or restriction and, where appropriate, provide information regarding the steps necessary to resolve it.

However, Wetapo may act without advance notice where immediate action is reasonably necessary to protect the Services, comply with law, prevent fraud or respond to an urgent security risk.

The duration of the contractual relationship and ordinary termination rights will be determined by the applicable commercial agreement.

Termination of the relationship does not affect rights, liabilities or payment obligations that arose before termination.

Provisions concerning confidentiality, intellectual property, liability, payment obligations, dispute resolution and any other provisions which by their nature are intended to survive termination will continue to apply.

15. Intellectual property and permitted use

All intellectual property rights in the Wetapo brand, website, software, APIs, interfaces, documentation, designs, databases, technical architecture and other proprietary materials belong to Wetapo or its licensors.

Except where expressly stated otherwise, no ownership rights are transferred to the Customer.

Subject to these Terms and the applicable commercial agreement, Wetapo grants the Customer a limited, non-exclusive, non-transferable and revocable right to access and use the relevant Services for its approved internal and commercial purposes during the term of the relationship.

The Customer may not copy, reproduce, sell, sublicense, distribute or commercially exploit Wetapo technology except as expressly permitted.

The Customer must not use the Wetapo name, trademarks or branding in a manner that is misleading, damaging or suggests a regulatory status, endorsement, partnership or relationship that does not exist.

Customers retain ownership of their own names, trademarks, content and other materials.

To the extent reasonably necessary to provide the Services, the Customer grants Wetapo a limited right to use materials supplied by the Customer for purposes including operating and displaying the relevant payment experience.

16. Data protection, confidentiality and records

Wetapo processes personal data in accordance with applicable data protection legislation and the Wetapo Privacy Policy.

The operation of a payment journey may involve several organisations processing personal data for different purposes.

Depending on the particular processing activity, Wetapo and other organisations involved may act as independent controllers, processors or in another legally recognised capacity.

The applicable allocation of responsibilities may be described further in our Privacy Policy, Data Processing Agreement or another contractual document.

Customers are responsible for ensuring that personal data supplied to Wetapo has been collected and disclosed lawfully and that appropriate information has been provided to affected individuals where required.

Both parties must treat confidential business, commercial and technical information received in connection with the relationship as confidential and take reasonable measures to protect it.

Confidential information may be disclosed where required by law, court order, competent regulatory authority or other legally binding requirement.

Information will not be considered confidential to the extent that it is already lawfully public, was lawfully known before disclosure, was independently developed or was legitimately received from another source without an obligation of confidentiality.

17. Warranties and disclaimers

Wetapo will provide the Services with reasonable care and skill and in accordance with applicable contractual obligations.

However, the Customer acknowledges that payment technology depends on numerous systems and organisations outside Wetapo's direct control.

Except where expressly provided in an applicable agreement or required by law, Wetapo does not warrant that the Services will be uninterrupted, completely error-free or compatible with every bank, device, browser, third-party platform or business model.

Wetapo does not guarantee that every payment attempt will be successfully authorised, executed or settled.

Wetapo also does not guarantee that a particular bank, payment route, country or feature will remain available indefinitely.

Information published on the Wetapo website concerning payments, Open Banking, regulation, technology or other subjects is provided for general information only.

It does not constitute legal, tax, investment, accounting or other professional advice.

Customers are responsible for obtaining their own professional advice where appropriate and for determining whether the Services are suitable for their legal, regulatory, commercial and technical requirements.

18. Liability and indemnification

Each party will be responsible for losses for which it is liable under applicable law and the contractual arrangements between the parties.

To the maximum extent permitted by applicable law, Wetapo will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of anticipated profits, revenue, business opportunities, goodwill or anticipated savings.

Wetapo will not be liable for a failure caused solely by circumstances outside its reasonable control, including failures or actions of independent banks, payment systems, telecommunications networks or third-party infrastructure, except where applicable law provides otherwise.

Wetapo will also not be responsible for losses arising from incorrect information supplied by the Customer, unauthorised or improper use of Customer credentials, unlawful Customer activity or a failure by the Customer to implement reasonable security measures.

Any aggregate liability cap, exclusions, financial thresholds or other specific allocation of risk applicable to a Customer will normally be specified in the relevant commercial agreement.

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation or any other liability which cannot lawfully be excluded or limited.

To the extent permitted by applicable law and the relevant commercial agreement, the Customer will be responsible for losses, claims, liabilities and reasonable costs resulting from its material breach of these Terms, unlawful use of the Services, fraudulent activity or infringement of third-party rights.

19. Complaints and disputes

Wetapo aims to provide Services in a professional, transparent and reliable manner.

If a Customer or other eligible person believes that a Service has not been provided appropriately, a complaint may be submitted in accordance with the Wetapo Complaints Policy.

Complaints should contain sufficient information to allow the matter to be identified and investigated, including relevant transaction or payment information where applicable.

Wetapo will investigate complaints fairly and within the timeframes applicable to the nature of the complaint.

Where a complaint relates to a regulated payment service provided within a regulatory framework involving another authorised payment service provider, Wetapo may be required to refer, coordinate or investigate the complaint together with the relevant regulated provider.

Nothing in these Terms prevents an eligible complainant from exercising any right to refer a matter to a competent regulator, alternative dispute resolution body or court where such a right exists under applicable law.

The submission of a complaint does not affect any mandatory statutory rights available to the complainant.

Further information regarding how complaints are submitted and handled is available in our Complaints Policy.

20. General legal provisions

Wetapo may amend these Terms from time to time to reflect changes to our Services, business model, technology, applicable law, regulatory requirements, security practices or contractual arrangements.

The current version will be published on the Wetapo website together with its latest revision date.

Where required by applicable law or the applicable commercial agreement, Wetapo will provide appropriate notice before a material amendment takes effect.

Neither party will be responsible for a failure or delay in performing an obligation where that failure results from circumstances beyond its reasonable control, including natural disasters, war, civil disturbance, government action, widespread power or telecommunications failure, major cyber incidents or disruption to banking or payment infrastructure.

The Customer may not assign or transfer its rights or obligations relating to the Services without Wetapo's prior consent where such consent is required under the applicable agreement.

Wetapo may transfer its rights or obligations in connection with a merger, corporate restructuring, acquisition, transfer of business or similar transaction, subject to applicable law and contractual requirements.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be interpreted as closely as reasonably possible to its intended effect, and the remaining provisions will remain in force.

A failure or delay by either party to exercise a contractual right does not constitute a waiver of that right.

These Terms, together with the applicable commercial agreement and documents expressly incorporated into it, constitute the agreement governing the relevant Services. Specific terms agreed in writing between Wetapo and the Customer may supplement or override these general Terms.

Wetapo may communicate with Customers electronically, including through email, the Wetapo website, an online interface or another agreed communication channel. Customers are responsible for maintaining accurate contact information.

21. Governing law and jurisdiction

The governing law and jurisdiction applicable to the relationship between Wetapo and a Customer may be specified in the relevant commercial agreement.

Where a separate commercial agreement specifies governing law, jurisdiction or dispute resolution arrangements, those provisions will apply to the extent permitted by mandatory law.

Where no separate arrangement has been agreed, the governing law and competent jurisdiction will be determined by reference to the Wetapo entity responsible for providing the relevant Services and any mandatory rules applicable to the relationship.

Nothing in these Terms is intended to deprive any person of rights or remedies that cannot lawfully be excluded by contractual agreement.
